Terms and Conditions of Use for the Bayshop Service

By registering on the BayShop website (www.bayshop.com), adults with full legal capacity (hereinafter referred to as "Client" or "Party") enter into a Service Agreement with the BayShop network, consisting of affiliated and partner companies, hereinafter referred to as "Executor" or "Party".

This Contract is a public document that regulates the legal relations between the Executor and the Client regarding the provision of services for the purchase, receipt, storage, and shipment of international parcels. The conditions are mandatory for all users of the BayShop website.

I. CONTRACTING PARTIES

1.1. The Executor

BayShop services are provided by an international network of affiliated and partner entities, depending on the origin and destination of the parcels, as follows:

  • Air Post SRL, based in Romania – main provider and logistics coordinator;
  • Shopping Consulting SRL, Republic of Moldova – local IT and logistics partner;
  • BayShop INC, United States of America – partner for receiving and shipping parcels from the USA;
  • Caro SRLS, Italy – logistics partner for deliveries from Italy;
  • Vadalex Express LLC, United Kingdom – logistics partner for deliveries from the UK;
  • Super Global z.o.o, Germany and Poland – logistics partner for receipts and shipments in/from the EU.

All entities act on behalf of and for BayShop, based on internal logistics cooperation agreements.

1.2. The Client

The Client is an adult individual with full exercise capacity who registers on the site and orders BayShop Services. Registration on the site implies unconditional acceptance of this Contract.


II. OBJECT OF THE CONTRACT

2.1. BayShop Services

Under this Contract, the Executor, for a fee established by the rates published on the site, undertakes to provide, at the Client's request, the following services ("Services"):

a) Purchasing goods and products (hereinafter referred to as "Products") from online stores in the USA, Germany, Italy, Poland, the United Kingdom, or other countries where BayShop has active partners;

b) Receiving, processing, storing, and packaging the Products purchased by the Client or on their behalf;

c) International delivery of parcels to the Client's destination country, by mail, express courier, or own transport, as follows:

  • From the USA – via Air Post (air transport);
  • From other countries – via Road Express (road transport).

2.2. Acceptance of Terms

By using BayShop services, the Client confirms that:

  • they have read, understood, and fully accepted the terms of this Contract;
  • they consent to the processing of their personal data;
  • they grant the Executor the right to involve third parties for fulfilling contractual obligations.

2.3. Unilateral Modification

The Executor has the right to unilaterally modify this Contract, the rates, and the service conditions without prior notice. The updated version will be published on the site, and the Client is obliged to periodically check for changes.


III. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. Obligations of the Executor

The Executor undertakes to:

a) Provide BayShop Services in accordance with the terms of this Contract and applicable law;

b) Respect the confidentiality of the Client's data;

c) Provide accurate information regarding the status of the order and transport;

d) Refuse to purchase or ship Products that contravene the law, customs regulations, or transport conditions;

e) Not be responsible for any delays caused by suppliers, customs, postal services, or independent carriers.

3.2. Rights of the Executor

The Executor reserves the right:

a) to refuse to provide Services to the Client in case of inappropriate behavior, offensive language, attempted fraud, or system abuse;

b) to involve other affiliated companies in executing the Services;

c) to verify the contents of parcels for compliance with transport rules and applicable law;

d) to change the delivery method if the one chosen by the Client becomes impossible (e.g., weight, volume, or destination restrictions).

3.3. Obligations of the Client

The Client undertakes to:

a) Provide real, complete, and correct data regarding identity, address, and payment for services;

b) Pay in full the value of the products, delivery costs, and related bank fees;

c) Not use the Services for commercial, illegal, or prohibited purposes;

d) Not introduce into the parcel goods prohibited by law, explosives, flammable, narcotic, perishable, counterfeit, or under special regime;

e) Personally monitor the delivery status of parcels and the free storage period;

f) Be responsible for the accuracy of the data entered into the system (product name, value, weight, link, invoice, etc.);

g) Not claim compensation for delays caused by external factors (customs, carriers, sellers).


IV. PAYMENT METHOD AND ACCOUNT SUPPLEMENTATION

4.1. Payment Methods

Payment for Services is made through the means accepted and displayed on the BayShop website.

The Client is responsible for all interbank fees and additional costs related to transactions, which are indicated on the "Billing" page in the payment description.

4.2. Insufficient Funds

If the funds in the Client's account are insufficient, the Executor has the right to:

  • suspend the execution of the order;
  • cancel the shipment until the debt is settled;
  • withhold compensatory fees related to incurred costs.

4.3. Accuracy of Payments

The Client is obliged to keep all payment proofs until the amount is reflected in the BayShop account.

The name on the payment card must match the name of the BayShop account holder. Otherwise, the account may be blocked until identity clarification.


V. RECEIPT, STORAGE, AND HANDLING OF PRODUCTS

5.1. Receipt of Products

The Executor receives products delivered by Sellers at its warehouse addresses in the USA, Germany, Poland, Italy, UK, Romania. Receipt is considered completed at the moment of parcel registration in the system.

5.2. Storage Term

  • Storage terms are indicated on the rates and services page under the chapter "Storing goods in our warehouse".
  • After the expiration of the free term, a storage fee applies.

After 90 days (3 months) from the date of receipt, unclaimed parcels are considered abandoned and may be destroyed without reimbursement.

5.3. Opening and Checking Parcels

The Executor has the right to open parcels for:

  • content verification (prohibited objects, dangerous goods);
  • compliance control with transport and customs rules.

Prohibited products are returned or destroyed at the Client's expense.

5.4. Additional Services

At the Client's request, additional services (verification, photographing, measuring, special packaging, insurance) can be provided according to published rates.


VI. SHIPPING AND DELIVERY OF PARCELS

6.1. Types of Delivery

a) From the USA – via Air Post (air transport);

b) From other countries (Germany, Poland, Italy, UK, Romania) – via Road Express (road transport).

6.2. Shipping Conditions

Delivery is only performed after the complete payment of transport costs.

The final delivery cost is determined after packaging and weighing the parcel.

6.3. Transportation Liability

The Executor is not responsible for:

  • delays caused by mail, couriers, customs, strikes, or natural phenomena;
  • damage to products due to the original packaging of the Seller;
  • changes in delivery times due to independent causes.

6.4. Parcel Insurance

The Client can opt for parcel insurance at an additional cost. In case of loss or damage, the Executor will request compensation from the insurer, and upon receiving the amount, will transfer it to the Client.


VII. RETURN OF PRODUCTS

7.1. Right of Return

Returning products is possible only if the Seller expressly allows it and in compliance with the procedure established by them.

7.2. Costs

The Client bears all return costs (transport to and from the Seller, customs duties, services).

The BayShop commission is non-refundable, regardless of the Seller's decision.

7.3. Refund of Amounts

Once the Seller returns the amount to the Executor, it is transferred to the Client's account.


VIII. PERSONAL DATA PROTECTION AND CONFIDENTIALITY

The Executor collects and processes the Client's personal data exclusively for the purpose of executing the contract, in accordance with the laws of Romania, the Republic of Moldova, and Regulation (EU) 2016/679 (GDPR).

8.1. Purpose of Processing

Data is used for:

  • creating the BayShop account;
  • processing orders and payments;
  • managing deliveries;
  • communication with the Client;
  • fraud prevention and legal compliance.

8.2. Client's Rights

The Client has the right to access, rectify, delete, oppose, and port their data, by written request addressed to the contact address published on the site.

8.3. Confidentiality

The Executor guarantees that it will not sell, rent, or disclose personal data to third parties, except as required by law or necessary for the execution of Services.


IX. LIMITATION OF LIABILITY

The Executor is exempt from liability in the following situations:

  • force majeure (fires, floods, earthquakes, armed conflicts, pandemics, etc.);
  • errors of third parties (banks, couriers, postal services, payment processors);
  • indirect financial losses or commercial damages suffered by the Client;
  • delayed or lost delivery due to customs or postal reasons;
  • errors in declarations completed by the Client.

Product Quality and Seller's Responsibility

The Executor (BayShop and its partners) is not responsible for the quality, authenticity, compliance with the description, functionality, origin, trademark, country of manufacture, or any defects of the Products purchased by the Client from third-party Sellers.

All complaints regarding quality, deficiencies, or defects of the Products are addressed directly to the Seller from whom they were purchased.

The Executor does not guarantee or verify the compliance of products with manufacturing standards, technical specifications, used materials, trademarks, or intellectual property regulations.

Also, the Executor is not responsible for errors, omissions, shipping delays, delivery of wrong or unsuitable products, generated by the Seller.

The BayShop service acts solely as a logistical and administrative intermediary between the Client and the Seller, without having the status of a merchant, importer, or distributor of the Products.

The maximum liability of the Executor is limited to the value of the commission charged for the respective Service.


X. CUSTOMS DECLARATION

The Client agrees that the customs declaration of parcels be carried out by a customs representative appointed by the Executor.

All customs duties, VAT, excise, or other related payments are the responsibility of the Client.

The Executor does not compensate these taxes and is not responsible for any detentions or confiscations imposed by customs authorities.


XI. SECURITY, PAYMENTS, AND ANTI-FRAUD

BayShop accepts payments only from credit/debit cards issued in the accepted countries, listed on the site.

It is prohibited:

  • to pay orders with gift cards;
  • to create duplicate accounts;
  • to use an account in the name of other persons.

BayShop may request additional documents for identity verification (copy of ID, stamped bank statement, etc.) and may suspend suspicious accounts.


XII. APPLICABLE LAW AND DISPUTE RESOLUTION

  • For Clients residing in Romania, the Contract is governed by Romanian law, and disputes are resolved by the competent courts in Romania.
  • For Clients residing in the Republic of Moldova, this Contract is governed by Moldovan law, and disputes are resolved by the competent courts in the Republic of Moldova.
  • For Clients residing in other EU states, the Contract is governed by EU law, and disputes are resolved by the competent courts in Romania.
  • In all cases, amicable resolution of disputes is attempted first.

XIII. FINAL PROVISIONS

a) The Contract enters into force on the date of the Client's registration on the site;

b) The valid version is the one published on www.bayshop.com;

c) Partial nullity of a clause does not affect the validity of the others;

d) This document, together with its annexes ("Delivery and Services", "Rates", "Privacy Policy"), forms the entire agreement between the parties.
